Terms of Service
Last updated: September 2026
1. Acceptance of Terms
Tabuki ("the Service") is operated by Tabuki LLC, a Wisconsin limited liability company ("Tabuki," "we," "us," or "our"). By creating an account or using the Service, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use Tabuki.
You must be at least 18 years old to use Tabuki.
2. Description of Service
Tabuki is an invoicing and collaboration tracking tool designed for content creators, talent managers, and small creator agencies. The Service allows users to track brand collaboration deals, create and send invoices, schedule and send automated payment reminders to the brand contacts they designate, and monitor payment status.
Tabuki is a communication and organizational tool only. We facilitate invoicing — we do not process payments, hold funds, or act as a payment intermediary.
3. Payment Disclaimer
Tabuki facilitates invoicing and communication, but does not guarantee payment and is not responsible for payment collection.
Specifically: Tabuki is not responsible for whether a brand or client pays your invoice. Tabuki is not a party to any agreement between you and the brands or clients you invoice. Tabuki does not mediate, arbitrate, or resolve payment disputes. Any payment disputes must be resolved directly between you and the payer. Tabuki is not liable for lost income, missed payments, or unpaid invoices of any kind.
4. Fees & Billing
Paid subscriptions bill monthly in advance through our payment processor, Stripe. Current pricing is published on our pricing page.
Some plans include seat-based charges in addition to the base subscription fee. The Manager plan includes ten creator seats in its base monthly price. If you add creators beyond the tenth, your seat count increases and each additional seat is billed at the published per-creator rate. Because that change happens partway through a billing period, a prorated amount for the remainder of that period appears on your next invoice — your card is not charged at the moment you add the seat — and your recurring monthly total is higher from then on. You can see your current plan and seat count in your account at any time.
Seat counts do not decrease partway through a billing period. If you remove a creator, your seat count and monthly total stay as they are until your subscription renews. At renewal, your seat count is recalculated from the creators on your roster at that time and your monthly total is adjusted to match — so a roster that goes from fifteen creators to twelve renews at twelve. This happens automatically; you do not need to contact us. We do not issue credits or refunds for seats removed partway through a period, and the base monthly price covers up to ten creators regardless of how far your roster falls below that.
You can cancel your subscription at any time from your billing settings. Cancellation takes effect at the end of your current billing period, and you will not be charged again. We do not offer partial-month or prorated refunds.
We may change our pricing. If we do, we will give existing subscribers notice by email before the new pricing applies to their account.
5. User Responsibilities
You are solely responsible for the accuracy of all information entered into Tabuki, including invoice amounts, dates, and descriptions. You are also responsible for compliance with applicable tax and legal requirements in your jurisdiction, and for maintaining the security of your account credentials.
Tabuki lets you enter information about other people — the brand contacts you invoice, and, if you manage a roster, the creators you represent. You are responsible for having the right to provide and use that information, including the right to send invoices and reminders to the email addresses you enter. Tabuki processes that information at your direction in order to provide the Service to you, as described in our Privacy Policy.
6. Limitation of Liability
To the maximum extent permitted by applicable law, Tabuki LLC and its members, managers, employees, contractors, and affiliates shall not be liable for any lost revenue, lost profits, missed or unpaid invoices, indirect, incidental, special, or consequential damages of any kind, or any damages exceeding the amount you paid to Tabuki in the 12 months prior to the claim.
This limitation applies regardless of the theory of liability and even if Tabuki has been advised of the possibility of such damages.
7. No Warranties
The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.
Tabuki does not warrant that the Service will be uninterrupted, error-free, or completely secure.
8. Prohibited Uses
You may not use Tabuki to send fraudulent, misleading, or illegal invoices; harass, spam, or send unsolicited communications; impersonate any person or entity; or violate any applicable law or regulation.
You also may not attempt to gain unauthorized access to the Service, any account other than your own, or any related systems; interfere with or disrupt the Service or the servers and networks it depends on; upload or transmit malware or other harmful code; or use automated means to access the Service in a way that degrades it or circumvents plan limits.
9. Account Termination & Cancellation
Tabuki reserves the right to suspend or terminate your account at any time if you violate these Terms or engage in conduct we determine to be harmful to the Service or other users.
You can cancel your paid subscription at any time from your billing settings, as described in Fees & Billing. You may also request deletion of your account and personal data at any time by contacting info@tabuki.com, as described in our Privacy Policy.
10. Changes to Terms
We may update these Terms from time to time. We will notify users of material changes by email or by posting a notice within the Service. Continued use of Tabuki after changes are posted constitutes acceptance of the updated Terms.
11. Governing Law
These Terms are governed by the laws of the State of Wisconsin, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be brought exclusively in the state or federal courts located in Brown County, Wisconsin, and you consent to the jurisdiction of those courts.
